Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Censai (ABN 90 761 709 309) ("Censai," "we," "our," or "us") governing your access to and use of the Censai platform and related services (the "Service").

By creating an account or using the Service as an individual, you agree to these Terms. If you do not agree, you must not use the Service.

Schools, tutoring centres, and other organisations must use our Organisation Terms and Data Processing Agreement (DPA). Organisation features may be enabled over time; until then, organisation customers should contact us before enrolling students on an organisational basis.

2. Description of Service

Censai is an Australian secondary mathematics and exam-preparation learning platform. The Service may include personalised practice, learning profiles, learning paths, concept tools, and AI-assisted tutoring ("Ask Censai").

Curricula and jurisdictions supported by the Service may expand over time (for example beyond a single state pathway). Features may be added, modified, or retired. We will endeavour to provide reasonable notice of material changes to core functionality.

Adaptive learning profiles are a core part of the Service: we use your practice activity to personalise questions and pathways. See our Privacy Policy for details.

3. User Accounts

3.1 Account creation

  • Individual users register with email and password (authentication managed by our hosted auth provider).
  • You must provide accurate information and keep your credentials secure.
  • You are responsible for activity under your account.

3.2 Age requirements and consent

  • You must be at least 13 years of age to use the Service.
  • If you are under 18, a parent or guardian must consent to your use of the Service before you register.
  • By creating an account, you agree to these Terms and our Privacy Policy, and you confirm that you meet these age and consent requirements.

4. Subscription and Payments

4.1 Access tiers

  • Free — limited daily practice (including 10 Advanced and 10 Extension 1 questions per day), 1 Concept Test per day, Ask Censai usage, plus learning profile features as described in-product.
  • Pro (individual) — higher limits and paid features as described at signup/pricing, including Diagnostic Tests.
  • Organisation plans — when available, billed under Organisation Terms.

4.2 Billing

  • Individual Pro subscriptions are billed via Stripe. We do not directly store full credit card numbers.
  • Subscriptions renew until cancelled via the customer portal or account billing tools.
  • We will provide reasonable notice of material price changes.
  • Refunds are handled case-by-case unless required by the Australian Consumer Law.

5. Acceptable Use

You agree NOT to:

  • Share account credentials
  • Circumvent usage limits or security measures
  • Use automated tools to scrape or abuse the Service
  • Copy, redistribute, or sell our questions or solutions
  • Interfere with other users’ access
  • Use the Service for illegal purposes
  • Submit inappropriate or unlawful content

5.1 Academic integrity

  • Do not use the Service to cheat on graded assessments or exams
  • Do not redistribute questions or solutions to question banks or study groups for unfair advantage
  • Do not screenshot or record questions for redistribution

6. Intellectual Property

6.1 Our content

  • Questions, solutions, and educational materials are owned by us or our licensors
  • Content is licensed to you for personal educational use only
  • You may not reproduce or distribute our content without permission

6.2 Your content

You retain ownership of answers and work you submit. You grant Censai a limited licence to process your responses to operate the Service, including real-time tutoring/feedback, adaptive personalisation, learning profiles, and irreversibly anonymised aggregate statistics.

We do not use your student content to train foundation AI models. Our AI provider organisation settings have API model training disabled, as described in our Privacy Policy.

7. Privacy and Data Use

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference.

Key commitments: primary application data is stored in Australia (Sydney) for our database; we do not sell student data or use it for advertising; limited overseas processing may occur for AI inference, payments, and transactional email as disclosed in the Privacy Policy.

8. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not currently offer a formal uptime SLA. Maintenance or outages may occur. We do not warrant that the Service will be error-free.

9. Limitation of Liability

To the maximum extent permitted by applicable law, including the Australian Consumer Law:

Our total aggregate liability arising out of or in connection with these Terms or the Service is limited to the amount you have paid to Censai in the 12 months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, to the extent permitted by law.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law or other applicable legislation.

10. Indemnification

You agree to indemnify and hold harmless Censai and its officers from claims arising out of your misuse of the Service, your violation of these Terms, or content you submit, to the extent permitted by law.

11. Termination

  • You may delete your account via Account settings (cascading deletion of related learning records as described in the Privacy Policy).
  • We may suspend or terminate access for breach of these Terms or risk to the Service or other users.
  • Organisation offboarding is governed by Organisation Terms when applicable.

12. Dispute Resolution

  • These Terms are governed by the laws of New South Wales, Australia.
  • The courts of New South Wales have exclusive jurisdiction, subject to any non-excludable rights.
  • Before commencing proceedings, the parties agree to attempt good-faith negotiation for at least 30 days.

13. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date will be revised. Continued use after changes are posted constitutes acceptance of the updated Terms, except where additional consent is required by law.

14. Educational Disclaimer

  • Censai is a supplementary learning tool, not a replacement for teachers or professional advice.
  • We do not guarantee specific academic outcomes.
  • AI-generated feedback may contain errors; verify important information with your teachers.

16. Miscellaneous

  • If a provision is unenforceable, it will be limited to the minimum extent necessary; remaining provisions continue.
  • These Terms, the Privacy Policy, and any applicable Organisation Agreement/DPA form the entire agreement regarding the Service.
  • Failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent; we may assign in connection with a merger or sale of assets.
