Organisation Terms

1. Purpose

These Organisation Terms apply when a school, tutoring centre, or similar education business ("Organisation") uses Censai to manage or support student exam preparation. They supplement the Consumer Terms and Privacy Policy and work with our Data Processing Agreement (DPA).

Some Organisation product features may roll out over time. Where a feature is not yet enabled, these Terms describe the intended contractual framework for when you activate Organisation Accounts.

2. Authority and warranties

• The person accepting these Terms warrants they have authority to bind the Organisation.
• The Organisation warrants it has a lawful basis to provide student and staff personal information to Censai (including any required parent/student notices or consents under its policies and applicable law).
• The Organisation is responsible for parent/student notices regarding use of Censai.

3. Roles and access

• Typical roles: organisation admin, teacher/tutor, student.
• Staff must only access students within their Organisation (and assigned classes when class scoping is enabled).
• The Organisation must promptly deactivate accounts for staff or students who leave.
• Cross-organisation access is prohibited.

4. Processing instructions

For Organisation-managed student data, the Organisation determines the educational purposes of processing and Censai processes personal information as a contracted service provider under the DPA, only on documented instructions (including these Terms and product configuration such as AI enabled/disabled).

5. AI features

• Ask Censai may send question context and student messages to an AI provider outside Australia for inference.
• Organisations may disable AI features when the product flag is available (`ai_enabled`).
• Student content must not be used to train foundation models.

6. Acceptable use

• No unlawful surveillance or collection of sensitive information unrelated to exam preparation
• No redistribution of Censai question banks
• No use that undermines academic integrity policies of the Organisation
• Staff must not export or share student data outside permitted educational purposes

7. Fees

Organisation pricing, seats, and invoices are agreed separately (order form or quote). Consumer Pro billing for individual students is separate unless expressly included.

8. Termination and exit

• Either party may terminate per the commercial agreement.
• On termination or written request, Censai will delete or return Organisation-linked personal information as set out in the DPA (subject to legal retention needs and anonymised aggregates).
• Export of student progress (CSV/JSON) will be available via Organisation admin tools when enabled.

9. Liability

Liability allocations follow the commercial agreement and applicable Australian law. Nothing excludes non-excludable ACL guarantees where they apply.

10. Governing law

These Organisation Terms are governed by the laws of New South Wales, Australia.
